The spotlight on executive compensation is brighter than ever but what does that mean for Company’s and their executives. The CFO RoundTable has assembled a panel to discuss the realities, rules and responsibilities in establishing executive compensation.  

Program Content:

Jack Dolmat-Connell, Managing Director of DolmatConnell & Partners, a leading independent executive compensation consutling firm, will discuss compensation strategies and today’s marketplace. Terry Martland, Partner, Foley Hoag LLP, will discuss regulatory changes and what company’s should consider in establishing deferred compensation plans. Pam Lenehan, President, Ridge Hill consulting, will offer the perspective of the Board of Directors, utilizing her experience as Chair of the Compensation Committees of two public companies.

 

Learning Objectives:

After attending the course, participants will:

·         Understand the current climate impacting executive compensation.

·         Be able to formulate strategies for recruiting and retaining executives

·         Be familiar with the rules and regulations related to executive compensation, including deferred compensation.

·         Understand  the board of directors perspective in setting executive compensation.

 

Speaker Bios:

Lauren Farrell (moderator) is the Vice President, Finance of HeartWare, Inc., a global medical device manufacturer. At HeartWare, Lauren established and maintains the Company’s SEC reporting function as well as having overall responsibility for the Company’s accounting and finance activities.  Lauren started her career at Arthur Andersen and Company and has over 20 years accounting and finance experience and has held roles in public accounting, financial management at both private and public companies, and strategic financial consulting.  Prior to joining HeartWare, Lauren served as Vice President at Bingham Strategic Advisors, a strategic consulting firm where she was part of the team responsible for the record setting sale of the Red Sox.  Ms. Farrell holds a Bachelors of Science in Accounting and a Masters of Business Administration from Bentley College.

Jack Dolmat-Connell is Chief Executive Officer of DolmatConnell & Partners. Jack is a nationally recognized expert in executive compensation, short-term and long-term incentive plan design linking pay and company performance, and executive reward strategy development. He works with organizations ranging from start-ups to Fortune 50 companies.  He focuses on industries with intensive human-capital needs, including high technology, life sciences, and alternative energy/clean technology. He also has special expertise in mergers and acquisitions, and turnarounds.

Pam Lenehan is President of Ridge Hill Consulting, a strategy consulting firm. In her 30 year business career she was a managing director in Investment Banking at Credit Suisse First Boston, an officer of a public company, and CFO of a high-tech start-up. She is on the board of directors of two publicly-traded companies, Spartech Corporation and Monotype Imaging. Pam is also on the board of The Center for Women & Enterprise, whose mission is to empower women to become economically self-sufficient through entrepreneurship. She has a BA and MA from Brown University. She and her husband live in Needham, MA.

Teresa Martland advises both foreign and domestic clients on the design and implementation of executive compensation plans, including matters such as deferred compensation and parachute payments. Her particular emphasis with her clients is on the design of stock and other equity compensation, including incentive and non-statutory stock options, phantom stock, stock appreciation rights, partnership interests, vesting equity participation and other matters relating to executive compensation and ownership.
